1. Our Terms and Conditions

The platform accessible through ‘https://app.tipstart.io/’ (the “Site”) and the services that we make available from the Site (our “Services”) are provided by TIPSTART LTD (Company number 13302732). We are also committed to ensuring a safe experience for users of the TipStart platform. In these Terms and Conditions (“Terms and Conditions”, “T&Cs”), references to “you” and “your” (and similar terms) refer to TIPSTART LTD’s corporate customers and nominated users.

2. General

These T&Cs govern the use of the Services and Site. By accessing the Site you agree to abide by these T&Cs. Before you are able to use the Services you will be asked to confirm (or not) that you are willing to abide by these T&Cs. These T&Cs should be read in conjunction with our Privacy Policy. In order to be able to use the Services, you will need to create an Account (further described in section 3 below) and comply with other requirements set forth in these T&Cs.

3. Access to the Services

a. Eligible individuals

Services (as defined in ‘TIPSTART LTD Terms and Conditions - Companies’) are offered to individuals on behalf of a consenting company. Services are offered to eligible individuals only. All users of the Services must be eighteen (18) years of age or older and employed by a company or organisation that consents to them acting on their behalf in their registration with TipStart.

b. Account creation

In order to access the Services, you will need to register and create a personal and non-transferable account in the Site (the “Account”). To this end, you must provide true, current, complete, and accurate information, as requested during the registration process, that refers to you and your company or organisation.

As an official representative of a consenting company or organisation, it will be your responsibility to ensure additional users from your company or organisation that register consent to the relevant T&Cs (as defined in ‘TIPSTART LTD Terms and Conditions - Individuals). It is also your duty to make sure that the other relevant users understand the impact for their privacy and content ownership when accepting to be part of your plan, and you shall indemnify, defend, and hold us harmless of any costs or damages directly or indirectly related to these matters.

c. Provision of the Services

Once an Account has been successfully created and payment has been made (unless exempt, see Section 5 - Fees and Payment), Services will be available and ready to use. The Services are provided in 7-month terms and automatically renew unless cancelled before a programme renewal date (exactly 7-months after initial payment or at a subsequent 7-month interval e.g. 14 months, 21 months, 28 months). You are entitled to cancel and withdraw from these Services on behalf of your company or organisation following the conclusion of any 7-month term. To cancel and withdraw from these Services, you must notify TIPSTART LTD through the provisions set out in the Site.

As the eligible individual for accessing services you are responsible for ensuring your nominated TipSters sign up promptly, within the initial registration month (month 1 of 7). If your nominated TipSters do not sign up in month 1, you forfeit any refund rights as set out in Section 5b of these T&Cs and risk undermining the quality of the experience for all users.

To ensure you are provided with high-quality Services, we utilise third party service providers. You understand that those providers act beyond our reasonable control and that we shall not be held liable for any damages caused by an action or omission attributable to them.

4. Your obligations

You must use the Services complying with the law. In particular, but without limitation, you shall not:

You undertake to submit true, accurate, current, and complete information when registering for the Services, and to notify us to keep said information current and accurate. In particular, when providing details on payment methods used for paying any registration fees associated with our provision of the Services to you, to make sure that said method is valid and can be used by you.

You undertake to comply with any instructions or recommendations (including accepting technical updates) given by us or by any individual acting on behalf of TipStart in connection with the use of the Site or the Services.

5. Fees and payments

a. Payment

Payment for the Services shall only apply to the company or organisation you registered on behalf of, and shall be set at a cost of £299 per month. Once signed up, they will be liable for recurring 7-monthly terms, but will have the option to cancel their subscription before the start of a new 7-monthly term. If you cancel your company or organisation’s account midway through a 7-monthly term, they will still be liable for the remaining monthly payments. Therefore, total cost liability for one iteration of the TipStart Programme will be £2,093. As the eligible individual for accessing services (see Section 3a) you are required to facilitate payment on behalf of your consenting company or organisation. We reserve the right to increase or decrease this figure as required, but any change in fee value will only apply in a subsequent 7-month term.

Unless cancellation is directly requested by your company or organisation to TIPSTART LTD, payment for the Services will continue automatically and your company or organisation will continue to be liable for payments on a minimum 7-monthly basis. In the final month of each 7-month period there will be a two week cancellation window to enable the administration of cancellation. You will be directed to this within the Site.

An exemption to the Payment for the Services may be agreed with TIPSTART LTD in advance and can be applied at the checkout through the Site.

All Payments will be administered through Stripe, via an embedded payment window. TIPSTART LTD will not have ownership over the data pertaining to any Payments, but will be able to access it in line with our User agreement with Stripe.

b. Refunds

As the eligible individual for accessing services you can request a refund on behalf of your consenting company or organisation. Refunds will be considered in the following circumstances only:

If all nominated TipSters are signed up within month 1 (see Section 3c) and 2 weeks after that sign up is complete no TipStarters have been matched with the nominated TipSters, a refund will be available for all months in which no successful matches are made;

If the Site is inaccessible due to technical issues for more than 10 days, a refund will be available for the month in which the technical issues prevent access (including subsequent months if the problem persists).

6. Suspension of access to Services

We are entitled to suspend your access to Services in the event that you provide us with untrue, inaccurate, not current, or incomplete information when registering for the Services, as well as when you fail to comply with these T&Cs or other mandatory provisions by law. Upon occurrence of any of these, we will contact you and request you to remedy your breach of these T&Cs.

We are entitled to suspend your account in the event you fail to redress any T&Cs breach in the non-extendable term of fifteen (15) calendar days from notification date. Additionally, we may block your access to the Services in the event you substantially breach these T&Cs, including without limitation any case in which the user commits fraud (e.g. to carry out phishing attacks) or willfully addressed to breach the law.

We will also suspend your access to Services should you not accept our Privacy Policy.

If your account is suspended, the consenting company or organisation that you signed up on behalf of, will still be liable for any payments due within the remainder of the 7-month term (Section 5a).

7. Disclaimer of warranties and damages

To the maximum extent permitted by applicable law, the Site and the Services are provided “as is”, “with all faults” and “as available” and the entire risk of use and performance remains with you. TIPSTART LTD and its suppliers do not make any representations, warranties, or conditions, express, or implied, or statutory, and hereby disclaim any implied warranties of merchantability, merchantable quality, fitness for a particular purpose, title, quiet enjoyment, or non-infringement and does not make any warranty or claim that the Services will be available or provided on an uninterrupted, timely, or secure basis; will be accurate, complete, reliable, or function properly; meet your requirements; be error-free or free from viruses, worms, or other harmful or malicious components.

8. Limitation of Liability

To the maximum extent permitted, in no event will TIPSTART LTD be liable for any consequential, incidental, exemplary, punitive, or special damages, including any damages to or for loss of data or privacy, revenue, profits, or property (including buildings, wiring, fixtures, devices, computers, peripherals, and animals) or for injury or death, arising from or relating to these T&Cs or the Services.

To the extent any liability arises under these T&C’s, TipStart’s total liability (save as set out below) will be capped to the total sum paid by you for the relevant TipStart programme under which the event giving rise to such liability occurred.

We do not exclude, cap or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the Services.

9. Amendments to the T&Cs

We may modify these T&Cs from time to time. We will provide you with reasonable prior written notice of any change. If you do not agree to any amendments to the T&Cs, you shall (as your sole remedy) stop using the Site and the Services. By continuing to use the Services or the Site, you are providing your agreement to be bound by the updated terms of the T&Cs.

10. Other

If a court finds part of these T&C’s illegal, the rest will continue in force. Each of the paragraphs of these T&C’s operate separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

If we delay in enforcing these T&C’s, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of you breaching these terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. 

These T&C’s shall be governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

Services (as defined in ‘TIPSTART LTD Terms and Conditions - Individuals’) are offered to eligible individuals only. Eligibility is specific to individual elements of the Services, however all users of the Services must be eighteen (18) years of age or older and based in the UK.

  6. Consider myself to have a disability
  7. Consider myself to be or have been a looked after child
  8. Consider myself to be or have been a young carer
  9. Aged 11 received free school meals
  10. First member of family to study at university
  1. You must currently work for a company or organisation that has separately registered for access to Services.
  2. The company or organisation that has separately registered for access to Services must have nominated you to participate as a TipSter.

b. Account creation

In order to access the Services, you will need to register and create a personal and non-transferable account in the Site (the “Account”). To this end, you must provide true, current, complete, and accurate information, as requested during the registration process, that refers to you and your company or organisation.

c. Provision of the Services

Services will be available and ready to use once you have successfully created an Account. The Services are provided in 7-month terms. You should expect to access the Services for 7-months only, but longer participation is possible. You are entitled to withdraw from these Services at any time. You may cancel and withdraw from these Services via the Site.

To ensure you are provided with high-quality Services, we rely on third party service providers. You understand that those providers act beyond our reasonable control and that we shall not be held liable for any damages caused by an action or omission attributable to them.
